HD Securities plans IPO of nearly 121.79 million shares

AsemconnectVietnam - HD Securities Joint Stock Company could raise its capital to VND 12,178.5 billion if it completes an IPO of over 121.79 million shares in Q4 2026.
HD Securities has just approved the details of its initial public offering (IPO) plan, offering 11.11% of the total outstanding shares, equivalent to 121,785,476 shares, to be implemented in Q4 2026, after approval from the State Securities Commission.
The offering price will not be lower than the book value of the shares according to the most recent quarterly financial report (book value as of June 30, 2026 is VND12,252/share), and the Board of Directors is authorized to make specific decisions.
Assuming a minimum selling price of VND12,252 per share, the minimum amount to be raised is VND1,492.1 billion. Of this, the company plans to use VND895.3 billion to supplement capital for margin trading lending; VND447.6 billion to invest in securities; and VND149.2 billion to supplement capital for advance payments on securities sales.
If the issuance is completed, the charter capital is expected to increase from VND10,960.69 billion to VND12,178.5 billion.
At the General Meeting held earlier this year, HD Securities approved an IPO plan for 164,410,392 shares, equivalent to 15% of the total outstanding shares if the capital increase (charter capital of VND10,960.69 billion) is completed; the offering price will be decided by the Board of Directors. The authorization method for the Board of Directors to make decisions includes, but is not limited to, direct distribution and/or distribution through designated agents; the expected timeframe is from Q2 to Q4/2026, after approval by the State Securities Commission.
Thus, the number of shares expected to be IPOed is lower than the plan approved earlier this year.
In addition to conducting the IPO, HD Securities will also submit its application for listing on the HOSE exchange concurrently with the IPO application. The Board of Directors commits to completing the application for listing/trading registration within 30 days from the end of the offering period.
Previously, on May 22nd, HDBank announced the completion of the transaction to increase its ownership stake in HDS to 90%. Accordingly, HDS becomes a subsidiary of HDBank, and HDS's financial statements will be consolidated into HDBank's financial statements from Q2/2026.
