Tan Dai Hung Plastic Company spends up to VND56 billion to buy back 4 million treasury shares for cancellation
Thursday, September 10,2026
AsemconnectVietnam - Tan Dai Hung Plastic Joint Stock Company (TPC, HoSE) announced on September 3, 2026, a notice to repurchase treasury shares, with a total registered volume of 4 million shares, accounting for nearly 24% of outstanding shares. Prior to the transaction, the company did not hold any treasury shares.
A noteworthy point is the purpose of the transaction. The company stated that it will cancel all repurchased treasury shares in accordance with Clause 5, Article 36 of the 2019 Securities Law, aiming to reduce the number of outstanding shares and thereby increase the dividend payout ratio for shareholders in the coming years from undistributed after-tax profits.
The capital for this transaction will come from the share capital surplus as reported in the separate semi-annual financial statements for 2026, audited by A&C Auditing and Consulting Company Limited, with a total value of VND58,231,003,671.
The maximum purchase price is set at VND14,000 per share, determined according to point b, clause 1, Article 8 of Circular 120/2020/TT-BTC, meaning the bid price cannot exceed the reference price plus 50% of the price fluctuation range. At this ceiling price, the total maximum amount the company can spend on the entire transaction is approximately VND56 billion, within the limits of the aforementioned capital surplus.
The transaction is expected to take place from September 14, 2026 to October 13, 2026, through order matching or negotiated transactions. Each trading day, the minimum bid volume is 120,000 shares (3% of the registered volume) and the maximum is 400,000 shares (10% of the registered volume). The minimum volume requirement is waived if the remaining purchase volume is less than 120,000 shares.
ACB Securities Company Limited (ACBS) has been appointed as the agent to execute the transaction.
The plan is implemented according to the Resolution of the 2026 Annual General Meeting of Shareholders and the Resolution of the Board of Directors dated August 17, 2026. On August 27, 2026, the State Securities Commission issued a document confirming receipt of all documents reporting the company's share buyback.
Tan Dai Hung operates primarily in the production of woven PP plastic packaging, supermarket bags, geotextiles, and freshwater storage bags, with its factory located in the Duc Hoa Ha Plastic Industrial Cluster, Duc Hoa commune, Tay Ninh province.
At the close of trading on September 3, 2026, the same day the share buyback information was announced, TPC shares closed at the ceiling price of VND11,650 per share, but the trading volume was only 4,000 shares. From a price of VND8,500 on August 24th, TPC has increased by approximately 37% in just six trading sessions, but with low liquidity, ranging from a few hundred to over 12,000 shares. This surge coincided with the State Securities Commission's confirmation of the share buyback program on August 27th.
Given the current low liquidity, the company's registered plan to buy a minimum of 120,000 shares per day far exceeds the actual trading volume of the market in recent sessions.
Regarding business performance, TPC's profits in recent quarters have been very modest compared to its capital size of VND168.17 billion.
