Novaland (NVL) expected to increase charter capital to approximately VND24,020 billion

AsemconnectVietnam - Nova Real Estate Investment Group Joint Stock Company (Novaland, stock code NVL) has just passed a Board of Directors resolution approving the implementation of a plan to issue shares to increase its share capital from equity in 2026.
Specifically, Novaland currently has a total of 2,234,496,474 issued shares, with a par value of VND10,000 per share. The value of the shares at par value is VND22,344,964,740,000 (nearly VND22,345 billion).
Novaland will issue shares to increase its share capital from equity. The maximum number of shares to be issued is 167,587,235 shares, with a total issuance value at par value of VND1,675,872,350,000 (over VND1.675 billion). The issuance ratio is 7.5%. The rights exercise ratio is 40:3 (on the last registration date to exercise the rights, shareholders owning 1 share will receive 1 right, and shareholders owning 40 rights will receive an additional 3 new shares).
The expected issuance time is in Q2/2026. The specific implementation time will be decided by the Board of Directors after the State Securities Commission announces receipt of the document reporting the issuance of shares to increase share capital from the Company's equity.
Regarding rounding, Novaland stated that the number of shares issued to increase share capital from equity for existing shareholders will be rounded down to the nearest whole number.
The capital for the issuance will come from the capital surplus shown in the audited separate financial statements for 2025. The right to receive the additional shares is non-transferable.
If the issuance is successful, Novaland's charter capital will increase from nearly VND22,345 billion to nearly VND24,021 billion.
On the same day, May 21st, the Novaland Board of Directors approved the closing date of June 4th, 2026, for shareholders to participate in a written consultation to approve adjustments and additions to some share issuance plans in 2026. The written consultation period will be from June 12th to June 22nd.
Regarding business performance, Novaland's consolidated financial statement for the first quarter of 2026 recorded net revenue of nearly VND3,587 billion, an increase of 102% compared to the same period last year. The company recorded a net profit of VND860 billion, a significant improvement compared to the loss of over VND 476 billion in the same period last year.
In 2026, Novaland aims for a record net revenue of VND22,715 billion, 3.2 times higher than in 2025; and a net profit of VND1,852 billion. Thus, at the end of the first three months of the year, the company had achieved 16% and 46% of its annual business plan, respectively.
