AsemconnectVietnam - On November 21, 2025, the Board of Directors of Vietravel Tourism Joint Stock Company (stock code VTR) has just issued a Resolution approving the policy of divesting all capital contributions and terminating the use of the brand name "Vietravel" in Vietnam Airlines Travel Joint Stock Company (Vietravel Airlines) - a member unit founded by Vietravel since 2019.

Accordingly, the Board of Directors of Vietravel agreed to transfer all 18,463,774 common shares that Vietravel is holding at Vietravel Airlines, equivalent to 100% of the Company's existing capital contribution at this airline. The divestment value is determined not to exceed 10% of Vietravel's total asset value, based on the internally audited financial report for the third quarter of 2025. The expected implementation time is from now until December 31, 2025, to ensure the completion of transfer procedures, information disclosure and handover of share ownership in accordance with current legal regulations.
In this restructuring roadmap, Vietravel Airlines will switch to a new brand name, independent of the Vietravel Tourism Group ecosystem.
This divestment decision is part of the comprehensive restructuring roadmap of the Vietravel Tourism Group ecosystem in the period of 2025 - 2030, with three goals: Focus on the core areas of tourism - services - trade, consolidating the position of the leading tourism group in Vietnam; Optimize financial resources, improve investment efficiency and return on equity; Increase flexibility in cooperation strategies with domestic and foreign airlines and partners, instead of maintaining direct ownership investment activities.
Mr. Nguyen Quoc Ky, Chairman of the Board of Directors of Vietravel Tourism Group, said: “After 30 years of development, Vietravel Tourism Group is entering a period of strong transformation towards a multi-sector tourism and service group. Divestment from Vietravel Airlines is a strategic step in the process of restructuring the investment portfolio, helping us focus more on core competencies and promote the strength of the entire Vietravel Tourism Group ecosystem”.
Vietravel affirmed that the divestment does not affect the business activities, tours and aviation services that the Company is providing to customers. Package tour programs of flying - relaxing - experiencing are still maintained through flexible cooperation with many major domestic and international airline partners.
