CIRCULAR
ON DELEGATION OF AUTHORITY FOR PERFORMANCE OF CERTAIN TASKS AND HANDLING OF CERTAIN ADMINISTRATIVE PROCEDURES IN MANAGEMENT OF MULTI-LEVEL MARKETING ACTIVITIES UNDER JURISDICTION OF MINISTRY OF INDUSTRY AND TRADE OF VIETNAM
Pursuant to the Government’s Decree No. 40/2025/ND-CP defining functions, tasks, powers and organizational structure of the Ministry of Industry and Trade of Vietnam, as amended by the Decree No. 109/2025/ND-CP and the Decree No. 193/2025/ND-CP;
Pursuant to the Government’s Decree No. 137/2026/ND-CP providing regulatory framework for multi-level marketing;
Pursuant to the Government’s Decree No. 03/2023/ND-CP defining the functions, tasks, powers and organizational structure of Viet Nam Competition Commission (VCC);
At the request of the Chairperson of Viet Nam Competition Commission;
The Minister of Industry and Trade of Vietnam hereby promulgates a Circular on delegation of authority for performance of certain tasks and handling of certain administrative procedures in management of multi-level marketing activities under jurisdiction of the Ministry of Industry and Trade of Vietnam.
Article 1. Scope
This Circular stipulates the delegation of authority for the performance of certain tasks and handling of certain administrative procedures in management of multi-level marketing (MLM) activities as prescribed in points a, c, d, dd, e, g, i and k clause 1 Article 54 of the Decree No. 137/2026/ND-CP.
Article 2. Regulated entities
This Circular applies to Viet Nam Competition Commission (VCC), affiliated units of the Ministry of Industry and Trade of Vietnam, provincial-level Departments of Industry and Trade, and other relevant organizations and individuals.
Article 3. Delegation of authority for performance of certain tasks and handling of certain administrative procedures in management of MLM activities of Ministry of Industry and Trade of Vietnam to VCC
VCC shall perform certain tasks assigned to the Ministry of Industry and Trade of Vietnam under the Decree No. 137/2026/ND-CP, including:
1. Issue, modify, renew, re-issue, and revoke MLM registration certificates of enterprises; process procedures for withdrawal of compulsory deposit, and handle compulsory deposits;
2. Notify the issuance, modification, extension and revocation of MLM registration certificates to the Department of Industry and Trade of the province or city where MLM activities are carried out;
3. Inspect and monitor MLM activities, and handle violations within competence;
4. Instruct and cooperate with provincial-level People’s Committees in conducting inspections and taking actions against violations against regulations on management of MLM activities;
5. Notify or request competent authorities to take actions against violations against regulations on management of MLM activities;
6. Organize training and refresher programs for cadres and civil servants directly taking charge of performing state management of MLM activities; disseminate regulations of law on management of MLM activities to MLM enterprises and participants;
7. Formulate and develop programs for dissemination of MLM activities and laws on management of MLM activities on means of media.
Article 4. Effect
This Circular comes into force from July 01, 2026.
Article 5. Implementation organization
1. VCC shall, within the ambit of its assigned functions and tasks, implement provisions of this Circular.
2. Relevant authorities, organizations and individuals are responsible for the implementation of this Circular and submission of their opinions, recommendations and any difficulties that arise during the implementation of this Circular to the Ministry of Industry and Trade of Vietnam (via VCC) for consideration./.
