DECREE
ON THE ORGANIZATION AND OPERATIONS OF MICROFINANCE PROGRAMS OR PROJECTS OF SOCIO-POLITICAL ORGANIZATIONS AND NON-GOVERNMENTAL ORGANIZATIONS
Pursuant to the Civil Code No. 91/2015/QH13, amended by the Law No. 142/2025/QH15;
Pursuant to the Law on Organization of the Government No. 63/2025/QH15;
Pursuant to the Law on Credit Institutions No. 32/2024/QH15, amended by the Law No. 43/2024/QH15 and Law No. 96/2025/QH15;
At the proposal of the Governor of the State Bank of Vietnam;
The Government hereby promulgates a Decree on the organization and operations of microfinance programs or projects of socio-political organizations and non-governmental organizations.
Chapter I
GENERAL PROVISIONS
Article 1. Scope
This Decree provides for the organization and operations of microfinance programs or projects of socio-political organizations and non-governmental organizations (NGOs) that were operating before July 1, 2024 under a Registration Certificate for a microfinance program or project issued pursuant to Prime Minister's Decision No. 20/2017/QD-TTg dated June 12, 2017 on the operations of microfinance programs or projects of political organizations, socio-political organizations, and non-governmental organizations.
Article 2. Regulated entities
1. Socio-political organizations and non-governmental organizations (NGOs).
2. Ministries, ministerial agencies, People's Committees of provinces and centrally-affiliated cities (hereinafter referred to as province-level People's Committees), and organizations and individuals involved in microfinance programs or projects of socio-political organizations and NGOs.
Article 3. Interpretation of terms
For the purposes of this Decree, these terms below shall be construed as follows:
1. Microfinance activities include the provision of loans in Vietnamese dong to microfinance clients and the acceptance of compulsory savings from microfinance clients.
2. Microfinance clients include the following:
a) Poor households, near-poor households, households with average living standards, individuals from poor households, individuals from near-poor households, individuals from households with average living standards, and low-income workers as prescribed by the Government's regulations on multidimensional poverty standards or by province-level People's Committees' regulations on income thresholds for such persons, based on relevant provisions of law;
b) Micro-enterprises as prescribed by law.
3. A microfinance program or project is a program or project of a socio-political organization or NGO carried out over a defined period within a specific operating area down to commune-level administrative divisions in provinces and centrally-affiliated cities, primarily for the purpose of conducting microfinance activities to meet the needs of microfinance clients, contribute to job creation, poverty alleviation, and hunger elimination, and operating on a non-profit basis. The operations of a microfinance program or project shall not constitute banking operations.
4. Non-governmental organizations (NGOs) include domestic NGOs and foreign NGOs.
A domestic NGO is an association, social fund, charitable fund, or other form of social organization established by individuals or organizations to regularly conduct development support activities on a non-profit basis, in accordance with its charter and the laws of Vietnam.
A foreign NGO is a non-governmental organization licensed by the Ministry of Foreign Affairs to operate in Vietnam in accordance with law.
5. Compulsory savings is an amount that a microfinance client must deposit pursuant to the regulations of the microfinance program or project. Compulsory savings shall only be accepted from microfinance clients who have an outstanding loan with the microfinance program or project. The term for accepting compulsory savings shall not exceed the remaining term of the loan. The microfinance program or project is responsible for prescribing and publicly disclosing the compulsory savings amount and the interest rate on compulsory savings.
6. Microfinance program capital is capital allocated, provided, or funds assigned for the execution of a microfinance program or project.
7. The head of the microfinance program or project is the Head of the Management Board or the Director who is responsible for managing and directing the operations of the microfinance program or project as prescribed in this Decree.
8. The Registration Certificate is the certificate of registration for the microfinance program or project issued to the socio-political organization or NGO pursuant to Prime Minister's Decision No. 20/2017/QD-TTg dated June 12, 2017 on the operations of microfinance programs or projects of political organizations, socio-political organizations, and non-governmental organizations (hereinafter referred to as Decision No. 20/2017/QD-TTg). Any amendment to the Registration Certificate shall form an integral part thereof.
Article 4. Authority to amend, terminate, and revoke the Registration Certificate
1. The State Bank of Vietnam (hereinafter referred to as the SBV) is the competent authority to amend, terminate, and revoke the Registration Certificate with respect to:
a) Microfinance programs or projects whose operating area falls within the management jurisdiction of at least two Regional Branches of the State Bank of Vietnam;
b) Microfinance programs or projects directly implemented by foreign NGOs.
2. The Regional Branches of the State Bank of Vietnam (hereinafter referred to as SBV Regional Branches) are the competent authority to amend, terminate, and revoke the Registration Certificate with respect to microfinance programs or projects in their regional areas, except for those specified in clause 1 of this Article.
Chapter II
SPECIFIC PROVISIONS
Section 1. QUALIFICATIONS AND CONDITIONS FOR THE HEAD OF THE MICROFINANCE PROGRAM OR PROJECT; ORGANIZATIONAL STRUCTURE OF THE MICROFINANCE PROGRAM OR PROJECT
Article 5. Qualifications and conditions for the head of the microfinance program or project
1. Holding a bachelor's degree or higher in economics, banking, finance, accounting, or business administration; or having at least 2 years of direct experience in the banking or microfinance sector.
2. Not falling within the category of persons prohibited from holding managerial positions or from establishing and managing enterprises or cooperatives under the provisions of law.
Article 6. Organizational structure of the microfinance program or project
1. Socio-political organizations and NGOs shall ensure that the microfinance program or project has a management division at the local area where the program or project is being carried out. The organizational structure, functions, and duties of the management division shall be set out in writing.
2. The microfinance program or project shall have a management division with at least the following organizational structure:
a) Management Board of the microfinance program or project.
The Management Board shall be responsible for managing and directing the operations of the microfinance program or project. The Head of the Management Board or the Director of the microfinance program or project shall be accountable for the operations of the program or project in the local area, and shall be responsible for assigning tasks to Management Board members in managing and directing the microfinance program or project;
b) Lending division of the microfinance program or project.
The lending division shall be responsible for performing lending operations, comprising: the Head of the lending division or an equivalent title and at least 1 staff member; the number of staff in the lending division shall correspond to the number of microfinance clients and the scale of microfinance operations;
c) Accounting and finance division of the microfinance program or project.
The accounting and finance division shall have a cashier and shall be equipped with safes, strongboxes, or other means for safely managing cash, documents, vouchers, and invoices;
d) Internal control and risk management division of the microfinance program or project.
The internal control and risk management division shall be responsible for inspecting, controlling, and managing risks across all operations of the microfinance program or project, comprising: the Head of the internal control and risk management division or an equivalent title and at least 1 staff member.
The number of staff in the internal control and risk management division shall correspond to the number of microfinance clients and the scale of microfinance operations. The Head of the internal control and risk management division shall be a dedicated position and shall not hold any other role.
3. The Head of each division or equivalent title specified at points b, c, and d of clause 2 of this Article shall hold at least a bachelor's degree in economics, banking, finance, accounting, or business administration, or have at least 1 year of experience in banking operations or microfinance operations.
Section 2. OPERATING TERM, OPERATING AREA, SCOPE OF OPERATIONS, INTERNAL REGULATIONS
Article 7. Operating term and operating area
1. The operating term of the microfinance program or project shall be specifically determined in the Registration Certificate. The operating term of the microfinance program or project shall not exceed the remaining operating term of the socio-political organization or NGO. The microfinance program or project may apply for an extension of its operating term.
2. The operating area of the microfinance program or project shall be specifically determined down to commune-level administrative divisions in the Registration Certificate. Socio-political organizations and NGOs may only carry out the microfinance program or project within the operating area of the socio-political organization or NGO, and such area shall not fall within zones that may affect national defense or security.
Article 8. Scope of operations
1. Lending operations of the microfinance program or project shall be performed as follows:
a) Lending to microfinance clients shall be based on the following principles:
Autonomy in lending operations and accountability for lending decisions; compliance with prudential requirements in accordance with law;
Based on a written agreement with the microfinance client, which shall at a minimum include: rights and obligations of the lender and borrower; purpose of loan use; loan term; loan amount; repayment schedule for principal and interest; lending interest rate and loan collateral measures;
The lending interest rate shall be consistent with the provisions of law, the specific conditions of the microfinance program or project, the microfinance operating plan, and shall be sufficient to cover operating costs, support growth, and operate on a non-profit basis;
Lending to households shall be conducted through the household representative. The household representative shall be a household member and must be authorized in writing by the household members in accordance with law;
Microfinance programs or projects of socio-political organizations may only lend to microfinance clients who are members of the socio-political organization;
b) Lending conditions:
Microfinance clients who are individuals or household representatives shall have passive legal capacity and active legal capacity in accordance with civil law. Microfinance clients that are micro-enterprises shall be legally operating;
Lending to microfinance clients may be secured by compulsory savings or by a group guarantee by microfinance clients;
The purpose of loan use shall be lawful;
c) The maximum loan amount per microfinance client shall not exceed 50,000,000 Vietnamese dong.
2. Borrowing from credit institutions, foreign bank branches, and foreign borrowing in accordance with law.
3. Other operations of the microfinance program or project include:
a) Accepting compulsory savings;
b) Accepting entrusted lending from organizations or individuals to lend to microfinance clients on a non-profit basis. The written agreement on entrusted lending shall at least include the following terms:
Name, address, legal status, and legal representative of the entrusting party (if any) and the entrusted party;
Purpose of entrustment; terms of entrustment;
Rights and obligations of the entrusting party and the entrusted party, which shall clearly specify that the entrusting party bears all risks and receives all benefits from the entrustment, while the entrusted party receives an entrustment fee;
Amount of entrusted capital; entrustment term; entrustment costs;
Beneficiaries;
Other terms agreed by the parties in accordance with law;
c) Receiving grants and non-reimbursable aid, as well as repayable aid, from governments, organizations, and individuals, both domestic and foreign. The receipt and use of aid from agencies, organizations, and individuals shall be in accordance with the laws of Vietnam;
d) Other operations permitted under relevant provisions of law.
Article 9. Internal regulations
1. Socio-political organizations and NGOs carrying out microfinance programs or projects shall issue at least the following internal regulations:
a) Regulations on the organization and operations of the Management Board of the microfinance program or project: specifying in detail the functions, duties, and powers of the Head of the Management Board or equivalent title, and each Management Board member; the duties and powers of the Director, and the delegation and authorization arrangements in managing and directing the microfinance program or project;
b) Regulations on the organization and operations of the lending division of the microfinance program or project: specifying in detail the duties and powers of the Head of the division or equivalent title, other members, and delegation and authorization arrangements in credit appraisal, lending approval, loan collateral, monitoring of loan use, loan classification and debt recovery, storage and safekeeping of documents, vouchers, records, and invoices related to lending and debt collection; internal regulations on microfinance clients;
c) Regulations on the management of compulsory savings, loans, and entrusted lending of the microfinance program or project: specifying in detail the scope, entities, authority, and responsibilities of each tier in managing compulsory savings, loans, and entrusted lending of the microfinance program or project;
d) Regulations on the organization and operations of the internal control and risk management division of the microfinance program or project: specifying in detail the duties and powers of the Head of the division or equivalent title, members in inspecting, controlling, managing risks, monitoring, delegating, and authorizing matters related to the professional operations of the microfinance program or project;
dd) Regulations on the organization and operations of the accounting and finance division: specifying in detail the duties and powers of the Head of the division or equivalent title, members, and delegation and authorization arrangements in accounting and financial work, storage and safekeeping of documents, vouchers, records, and invoices related to accounting and finance.
Where there is only one staff member responsible for accounting and finance, the duties and powers of that staff member shall be specifically prescribed.
2. On an annual basis, internal regulations must be reviewed and, where necessary, amended to support the effective management of the microfinance program or project.
3. Within 30 days from the date of issuance, amendment, or replacement of the internal regulations specified in clause 1 of this Article, the socio-political organization or NGO shall send the issued, amended, or replaced internal regulations to the SBV and the SBV Regional Branch where the microfinance program or project is being carried out.
Section 3. CHANGES TO THE MICROFINANCE PROGRAM OR PROJECT
Article 10. Change of name or office address of the microfinance program or project
1. Socio-political organizations and NGOs shall decide on a change of name or office address of the microfinance program or project in accordance with law. Such decision shall be made in writing by the socio-political organization or NGO.
2. Socio-political organizations and NGOs may only change the office address of the microfinance program or project within the operating area of the program or project as determined in the Registration Certificate.
3. Socio-political organizations and NGOs shall notify the SBV and the SBV Regional Branch in writing of the change of name or office address of the microfinance program or project within 7 working days from the date of the change, enclosing a copy of the decision of the socio-political organization or NGO on the change.
Where the change of address does not result in a change of the office location of the microfinance program or project, the socio-political organization or NGO shall notify the SBV and the SBV Regional Branch in writing within 7 working days from the date of the change.
Article 11. Change of operating area of the microfinance program or project
1. Where a change in administrative boundaries pursuant to a decision of a competent authority results in a change to the operating area of the microfinance program or project as recorded in the Registration Certificate, within a maximum of 20 days from the date the decision on the change in administrative boundaries of the competent authority comes into force, the socio-political organization or NGO shall apply to the SBV or the SBV Regional Branch for an amendment to the Registration Certificate with respect to the operating area.
The operating area for which amendment is sought shall comply with clause 2 of Article 7 of this Decree. Socio-political organizations and NGOs may only apply to change the operating area of the microfinance program or project in cases of a change in administrative boundaries, and may only carry out such change after the SBV or the SBV Regional Branch has amended the Registration Certificate.
2. The SBV or the SBV Regional Branch shall amend the Registration Certificate with respect to the operating area of the microfinance program or project based on the opinion of the province-level People's Committee of the locality where the change of operating area is proposed.
3. The application shall include:
a) Application form as per Form No. 01 set out in the Appendix to this Decree;
b) An operations plan for the new operating area, which shall at least include the following:
Justification for the change of operating area: clearly stating the impact of the administrative boundary change pursuant to the decision of the competent authority on the current operating area and the necessity of adjusting the operating area;
Information on the proposed new operating area: specifying administrative divisions down to commune level in the new area following the administrative boundary change;
Assessment of the proposed new operating area's compliance with clause 2 of Article 7 of this Decree;
Number of affected clients (if any) and measures to protect the rights and obligations of clients during the area change;
Measures to ensure continuity and effectiveness of the microfinance program or project in the new area;
Commitment to comply with the provisions of law and the guidance of the SBV relating to operations in the new area.
4. Procedures for amending the Registration Certificate:
a) The socio-political organization or NGO shall prepare one application as prescribed in clause 3 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
b) Within 10 days from receipt of the application as prescribed in clause 3 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed in clause 3 of this Article for the SBV or the SBV Regional Branch to consider and approve;
c) Where the application for amendment to the Registration Certificate falls within the SBV's authority as prescribed in clause 1 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV shall issue a written document to seek the opinions of the relevant province-level People's Committees on the change of operating area of the microfinance program or project in the local area.
Where the application for amendment to the Registration Certificate falls within the SBV Regional Branch's authority as prescribed in clause 2 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on the change of operating area of the microfinance program or project in the local area;
d) Within 15 days from receipt of the written document from the SBV or the SBV Regional Branch, the province-level People's Committee shall send its written opinion to the SBV or the SBV Regional Branch, clearly stating whether it approves or disapproves the proposed change of operating area.
Where disapproval is given, the province-level People's Committee shall clearly state its reasons and identify and provide specific and accurate information on the permitted operating area of the microfinance program or project, ensuring that the operating area accurately reflects the actual change in administrative boundaries and the approved scope of the operating area, and does not exceed the scope of the operating area currently permitted under the Registration Certificate issued prior to the administrative boundary change;
dd) Within 10 days from receipt of the province-level People's Committee's opinion as prescribed at point d of clause 4 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the operating area of the microfinance program or project, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO. The operating area recorded in such amended document shall accurately reflect the area approved by the province-level People's Committee or the area updated by the province-level People's Committee to reflect the actual administrative boundary change where disapproval of the proposed area change was given.
Where the province-level People's Committee disapproves the proposed change of operating area, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO clearly stating the reasons.
Article 12. Change of the amount of microfinance program capital
1. Socio-political organizations and NGOs may only change the amount of microfinance program capital of the microfinance program or project after the SBV or the SBV Regional Branch has amended the Registration Certificate with respect to the amount of microfinance program capital.
The SBV or the SBV Regional Branch shall amend the Registration Certificate with respect to the amount of microfinance program capital based on the approval of the province-level People's Committee where the microfinance program or project is being carried out.
2. Socio-political organizations and NGOs shall not use entrusted capital or borrowed capital in any form to change the amount of microfinance program capital and shall commit to and be responsible for the legality of the contributed capital source.
3. The application shall include:
a) Application form as per Form No. 01 set out in the Appendix to this Decree, clearly stating the specific change in capital at each operating area;
b) A written explanation of the origin of the microfinance program capital.
4. Procedures for amending the Registration Certificate:
a) The socio-political organization or NGO shall prepare one application as prescribed in clause 3 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
b) Within 10 days from receipt of the application as prescribed in clause 3 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application; or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed in clause 3 of this Article for the SBV or the SBV Regional Branch to consider and approve;
c) Where the application for amendment to the Registration Certificate falls within the SBV's authority as prescribed in clause 1 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV shall issue a written document to seek the opinions of the relevant province-level People's Committees on the change of the amount of microfinance program capital in the local area.
Where the application for amendment to the Registration Certificate falls within the SBV Regional Branch's authority as prescribed in clause 2 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on the change of the amount of microfinance program capital in the local area.
Within 10 days from receipt of the written document from the SBV or the SBV Regional Branch, the province-level People's Committee shall send its written opinion to the SBV or the SBV Regional Branch, clearly stating whether it approves or disapproves the proposed change of capital amount and its reasons;
d) Within 10 days from receipt of the province-level People's Committee's opinion as prescribed at point c of clause 4 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the microfinance program capital as per Form No. 03 in the Appendix to this Decree and send it to the socio-political organization or NGO.
Where the province-level People's Committee disapproves the proposed change of capital amount, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO clearly stating the reasons.
Article 13. Change of the head of the microfinance program or project
1. Socio-political organizations and NGOs may only change the head of the microfinance program or project after the SBV or the SBV Regional Branch has amended the Registration Certificate with respect to the head of the program or project.
2. The proposed new head of the microfinance program or project shall meet the qualifications and conditions prescribed in Article 5 of this Decree.
3. The application shall include:
a) Application form as per Form No. 01 set out in the Appendix to this Decree;
b) Curriculum vitae of the proposed head as per Form No. 02 set out in the Appendix to this Decree;
c) Documents evidencing that the proposed head meets the qualifications and conditions prescribed in Article 5 of this Decree.
4. Procedures for amending the Registration Certificate:
a) The socio-political organization or NGO shall prepare one application as prescribed in clause 3 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
b) Within 10 days from receipt of the application as prescribed in clause 3 of this Article, the State Bank or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed in clause 3 of this Article for the SBV or the SBV Regional Branch to consider and approve;
c) Within 20 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the head of the microfinance program or project, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
Where the application is refused, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO clearly stating the reasons.
Article 14. Extension of the operating term of the microfinance program or project
1. Socio-political organizations and NGOs may only extend the operating term of an ongoing microfinance program or project after the SBV or the SBV Regional Branch has amended the Registration Certificate with respect to the operating term.
The SBV or the SBV Regional Branch shall amend the Registration Certificate with respect to the operating term of the microfinance program or project based on the approval of the province-level People's Committee where the microfinance program or project is being carried out.
Applications for renewal of the operating term shall be submitted by the socio-political organization or NGO at least 6 months before the expiry of the operating term of the microfinance program or project as stated in the Registration Certificate.
2. The requested renewal term shall not exceed the remaining operating term of the socio-political organization or NGO.
3. The application shall include:
a) Application form as per Form No. 01 set out in the Appendix to this Decree, clearly stating the specific requested term at each operating area;
b) A copy of the establishment document for domestic NGOs; a copy of the operating registration or the registration for establishment of a representative office in Vietnam for foreign NGOs; a copy of the document from the competent authority on the execution of the microfinance program or project for socio-political organizations;
c) A copy of the approval document of the competent People's Committee on the rollout of the program or project in the province or centrally-affiliated city (if any);
d) An overview report on the organization and operations of the microfinance program or project, clearly stating:
Assessment and summary of operations over the 3 consecutive years preceding the year of application, including key performance metrics related to capital sources and use of capital; impact of lending operations on socioeconomic development in the area where the microfinance program or project is implemented;
Projected operating plan for the next 3 years, or the operating plan for the requested renewal period where the requested renewal term is less than 3 years.
4. Procedures for amending the Registration Certificate:
a) The socio-political organization or NGO shall prepare one application as prescribed in clause 3 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
b) Within 10 days from receipt of the application as prescribed in clause 3 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a complete and valid application; or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed in clause 3 of this Article for the SBV or the SBV Regional Branch to consider and approve;
c) Where the application for amendment to the Registration Certificate falls within the SBV's authority as prescribed in clause 1 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV shall issue a written document to seek the opinions of the relevant province-level People's Committees on the extension of the operating term of the microfinance program or project in the local area.
Where the application for amendment to the Registration Certificate falls within the SBV Regional Branch's authority as prescribed in clause 2 of Article 4 of this Decree, within 5 days from receipt of a valid application as prescribed in clause 3 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on the extension of the operating term of the microfinance program or project in the local area.
Within 10 days from receipt of the written document from the SBV or the SBV Regional Branch, the province-level People's Committee shall send its written opinion to the SBV or the SBV Regional Branch on the matters requested, clearly stating whether it approves or disapproves the proposed extension of the operating term and its reasons;
d) Within 10 days from receipt of the province-level People's Committee's opinion as prescribed at point c of clause 4 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the operating term, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
Where the province-level People's Committee disapproves the proposed extension of the operating term, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO clearly stating the reasons.
Section 4. TERMINATION AND REVOCATION OF THE REGISTRATION CERTIFICATE
Article 15. Grounds for termination and revocation of the Registration Certificate
Socio-political organizations and NGOs shall be subject to mandatory termination of their microfinance program or project and revocation of the Registration Certificate in the following cases:
1. The registration documents for the microfinance program or project contain fraudulent information to meet the conditions for issuance of the Registration Certificate.
2. The operating term of the microfinance program or project as prescribed in the Registration Certificate has expired without renewal of the operating term. The microfinance program or project has not been approved for continuation pursuant to clause 8 of Article 23 of this Decree.
3. The microfinance program or project commits serious violations of the provisions of this Decree and relevant provisions of law, causing public order and social security disturbances in the local area.
4. The socio-political organization or NGO fails to submit an application for amendment to the Registration Certificate as prescribed in clause 1 of Article 11; points a of clause 3, a of clause 5, and a of clause 7 of Article 23 of this Decree.
5. The socio-political organization or NGO fails to complete the rearrangement of the organizational structure of the microfinance program or project as prescribed in clause 6 of Article 23 of this Decree.
6. The microfinance program or project has had no operations for 12 consecutive months after the Registration Certificate was issued.
7. The socio-political organization or NGO is not permitted to carry out the microfinance program or project pursuant to a document of a competent regulatory agency.
8. The socio-political organization or NGO voluntarily ceases the operations of the microfinance program or project.
9. The socio-political organization or NGO ceases operations.
Article 16. Procedures for revoking the Registration Certificate
1. Upon discovering that a microfinance program or project of a socio-political organization or NGO falls within any of the cases specified in clauses 1, 2, 3, 4, 5, and 7 of Article 15 of this Decree, or at the request of the province-level People's Committee with respect to a microfinance program or project falling within clause 3 of Article 15 of this Decree, the SBV or the SBV Regional Branch shall issue a written document requesting the socio-political organization or NGO to terminate and surrender the Registration Certificate of the microfinance program or project pursuant to clause 2 of this Article.
2. From the date the SBV or the SBV Regional Branch issues the written request pursuant to clause 1 of this Article, the socio-political organization or NGO:
a) Shall not carry out any operations specified in Article 8.
b) Within 60 days from receipt of the written request pursuant to clause 1 of this Article, shall complete the preparation of a cessation plan for the microfinance program or project, settle the rights and obligations of all relevant parties in accordance with law, and send it to the SBV or the SBV Regional Branch. The plan shall ensure that the cessation of operations of the microfinance program or project is completed within a maximum of 2 years from the date of receipt of the written request pursuant to clause 1 of this Article;
c) Carry out the cessation of operations of the microfinance program or project in accordance with the cessation plan and organizational commitments.
d) Within 3 working days from the date of completion of the cessation of operations as prescribed at point c of this clause, shall submit a report to the SBV or the SBV Regional Branch together with the issued Registration Certificate.
3. Upon discovering that a microfinance program or project of a socio-political organization or NGO falls within clause 6 of Article 15 of this Decree, the SBV or the SBV Regional Branch shall issue a written document requesting the socio-political organization or NGO to return the issued Registration Certificate. Within 3 working days from receipt of the written request from the SBV or the SBV Regional Branch, the socio-political organization or NGO shall return the issued Registration Certificate.
4. In the cases specified in clauses 8 and 9 of Article 15 of this Decree, within a maximum of 90 days before the official date of termination of the microfinance program or project, the socio-political organization or NGO shall notify the SBV or the SBV Regional Branch in writing, enclosing the issued Registration Certificate. The notice shall at least include: the expected date of cessation of operations, financial and personnel settlement measures, and completion of relevant obligations in accordance with law.
5. Within 5 working days from receipt of the Registration Certificate from the socio-political organization or NGO as prescribed at point d of clause 2, clause 3, and clause 4 of this Article, the SBV or the SBV Regional Branch shall notify the Ministry of Public Security, the Ministry of Home Affairs, the Ministry of Foreign Affairs, and the province-level People's Committee where the microfinance program or project is being carried out of the termination and revocation of the Registration Certificate.
Section 5. TRANSFORMATION INTO A MICROFINANCE INSTITUTION; FINANCIAL REGIME, ACCOUNTING, AND REPORTING
Article 17. Transformation into a microfinance institution
Socio-political organizations and NGOs may transform a microfinance program or project into a microfinance institution (MFI) upon meeting the licensing conditions for a microfinance institution as prescribed by the Government's regulations on conditions for licensing microfinance institutions. The procedures shall be performed in accordance with the Governor of the SBV's regulations on application documents and procedures for licensing microfinance institutions.
Article 18. Financial regime, accounting, and reporting
1. Socio-political organizations and NGOs shall comply with the financial regime, accounting, and financial reporting requirements applicable to microfinance programs or projects in accordance with law.
2. The operations of the microfinance program or project shall be subject to independent accounting separately from other operations of the socio-political organization or NGO.
3. On a quarterly basis, before the 10th day of the following month, the socio-political organization or NGO shall submit a report as per Form No. 04 set out in the Appendix to this Decree, as follows:
a) For microfinance programs or projects whose operating area falls within the management jurisdiction of 2 or more SBV Regional Branches, and those directly implemented by foreign NGOs: submit to the SBV, the Ministry of Finance, the Ministry of Foreign Affairs (for foreign NGOs) or the Ministry of Home Affairs (for domestic NGOs), and the province-level People's Committee where the microfinance program or project is being carried out;
b) For microfinance programs or projects with an operating area spanning at least 2 provinces or centrally-affiliated cities, in addition to point a of clause 3 of this Article: submit to the Ministry of Finance, the Ministry of Home Affairs, the province-level People's Committee, and the SBV Regional Branch where the microfinance program or project is being carried out;
c) For microfinance programs or projects with an operating area within 1 province or centrally-affiliated city: submit to the province-level People's Committee and the SBV Regional Branch where the microfinance program or project is being carried out;
d) Reports may be in paper or electronic form, submitted in person, by postal service, or via electronic mail to the receiving agency.
Chapter III
RESPONSIBILITIES OF AGENCIES AND ORGANIZATIONS
Article 19. Responsibilities of socio-political organizations and NGOs implementing microfinance programs or projects
1. Bear full responsibility for managing, inspecting, and monitoring the operations of the microfinance program or project; ensure that the microfinance program or project complies with this Decree.
2. Shall not distribute profits or use profits from the operations of the microfinance program or project for activities other than microfinance activities in any form.
3. Direct and monitor the microfinance program or project to publicly disclose information on interest rates, compulsory savings regulations, lending products, client information, and other information in microfinance operations in accordance with the law on consumer protection.
4. The head of the socio-political organization or NGO implementing the microfinance program or project shall be responsible for issuing and amending the internal regulations as prescribed in Article 9 of this Decree.
Article 20. Responsibilities of the SBV
1. Take charge of drafting and submitting to the competent authority for amendments to the provisions of this Decree.
2. The SBV shall perform inspection, monitoring, guidance, and management of operations with respect to microfinance programs or projects whose operating area falls within the management jurisdiction of at least 2 SBV Regional Branches and those directly implemented by foreign NGOs.
3. SBV Regional Branches shall perform inspection, monitoring, guidance, and management of operations with respect to microfinance programs or projects in their local area, except as specified in clause 2 of this Article. Before February 15 of each year, SBV Regional Branches shall compile and report to the SBV on the operations of microfinance programs or projects in their local area, as per Form No. 05 set out in the Appendix to this Decree.
Article 21. Responsibilities of the Ministry of Finance
1. Perform state management of financial matters with respect to microfinance programs or projects within its functions and duties as prescribed by law, including issuing guidance documents on the financial regime, accounting, and financial reporting applicable to microfinance programs or projects as prescribed in Article 18 of this Decree.
2. Cooperate with the SBV in inspecting the management and use of capital of foreign NGOs, official development assistance (ODA) capital, and concessional loans in the course of executing microfinance programs or projects.
Article 22. Responsibilities of the Ministry of Public Security, the Ministry of Home Affairs, the Ministry of Foreign Affairs, and province-level People's Committees where the microfinance program or project is being carried out
1. The Ministry of Public Security shall be responsible for state management of public order and security in the local area with respect to microfinance programs or projects.
2. The Ministry of Home Affairs and the Ministry of Foreign Affairs shall be responsible for cooperating with the SBV in managing, inspecting, and monitoring the operations of microfinance programs or projects of NGOs that were established and licensed by the Ministry of Home Affairs or the Ministry of Foreign Affairs.
3. The province-level People's Committee where the microfinance program or project is being carried out shall be responsible for:
a) Cooperating with the SBV and SBV Regional Branches in managing, inspecting, and monitoring the operations of microfinance programs or projects in the local area. Province-level People's Committees may delegate or authorize commune-level People's Committees to perform certain specific cooperation tasks in accordance with the laws on local government organization and relevant provisions of law;
b) Based on the socioeconomic development needs of the locality, approving or disapproving changes to the operating area, microfinance program capital, and extension of the operating term of the microfinance program or project as prescribed in Articles 11, 12, and 14 of this Decree; clearly determining the operating area and operating term, and approving or disapproving the rollout of the microfinance program or project in the local area as prescribed in clauses 3, 5, and 8 of Article 23 of this Decree.
Chapter IV
IMPLEMENTATION PROVISIONS
Article 23. Transitional provisions
1. For microfinance programs or projects with a remaining implementation period of less than 12 months from the date this Decree comes into force and that do not apply for an extension of the operating term, socio-political organizations and NGOs may continue to maintain the organization and operations of such microfinance programs or projects in accordance with Decision No. 20/2017/QD-TTg until the expiry of the operating term stated in the Registration Certificate.
2. The head of the microfinance program or project appointed before this Decree comes into force who does not meet the requirements of Article 5 of this Decree may continue to hold the position until the end of the appointment term.
3. For microfinance programs or projects whose operating term stated in the Registration Certificate does not comply with clause 1 of Article 7 of this Decree, or where the Registration Certificate does not specifically state an operating term, the matter shall be handled as follows:
a) Within a maximum of 3 months from the date this Decree comes into force, the socio-political organization or NGO shall submit an application requesting the SBV or the SBV Regional Branch to consider amending the Registration Certificate with respect to the operating term;
b) The application shall include:
Application form as per Form No. 01 set out in the Appendix to this Decree;
A written explanation clearly stating the consistency between the proposed operating term and the scale, nature, and objectives of the microfinance program or project, and compliance with clause 1 of Article 7 of this Decree;
c) Procedures:
The socio-political organization or NGO shall prepare one application as prescribed at point b of clause 3 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
Within 10 days from receipt of the application as prescribed at point b of clause 3 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed at point b of this clause for the SBV or the SBV Regional Branch to consider and approve;
For microfinance programs or projects whose operating area falls within the management jurisdiction of at least 2 SBV Regional Branches and those directly implemented by foreign NGOs, within 5 days from receipt of a valid application as prescribed at point b of clause 3 of this Article, the SBV shall issue a written document to seek the opinions of the relevant province-level People's Committees on the determination of the operating term of the microfinance program or project in the local area.
For microfinance programs or projects whose operating area falls within the management jurisdiction of 1 SBV Regional Branch, within 5 days from receipt of a valid application as prescribed at point b of clause 3 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on the determination of the operating term of the microfinance program or project in the local area;
Within 10 days from receipt of the written document from the SBV or the SBV Regional Branch, the province-level People's Committee shall express its approval or disapproval of the operating term of the microfinance program or project as proposed by the socio-political organization or NGO.
Where disapproval is given, the province-level People's Committee shall clearly state the permitted implementation period for the socio-political organization or NGO or request the SBV or the SBV Regional Branch to revoke the Registration Certificate of the microfinance program or project and clearly state its reasons;
Within 10 days from receipt of the province-level People's Committee's opinion, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the operating term, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
Where the approved operating term differs from that requested by the socio-political organization or NGO, the State Bank or Regional State Bank Branch shall include a written notice (including in electronic form) clearly stating the reasons.
Where the Registration Certificate is revoked at the request of the province-level People's Committee, the procedures shall be carried out as prescribed in clause 2 Article 16 of this Decree.
4. For microfinance programs or projects with a remaining operating term of less than 6 months from the date this Decree comes into force, applications for renewal of the operating term shall be processed as follows:
a) Within a maximum of 2 months from the date this Decree comes into force, the application for amendment to the Registration Certificate with respect to the operating term shall be completed and submitted;
b) The application and procedures for amending the Registration Certificate with respect to the operating term shall be performed in accordance with clauses 3 and 4 of Article 14 of this Decree.
5. For microfinance programs or projects whose operating area stated in the Registration Certificate does not comply with clause 2 of Article 7 of this Decree, the matter shall be handled as follows:
a) Within a maximum of 3 months from the date this Decree comes into force, the socio-political organization or NGO shall submit an application requesting the SBV or the SBV Regional Branch to consider amending the Registration Certificate with respect to the operating area;
b) The application shall include:
Application form as per Form No. 01 set out in the Appendix to this Decree;
A written explanation where the proposed operating area differs from the area where the socio-political organization or NGO is actually carrying out the microfinance program or project, clearly stating the consistency between the proposed operating area and the scale, nature, and objectives of the microfinance program or project, and compliance with clause 2 of Article 7 of this Decree;
c) Procedures:
The socio-political organization or NGO shall prepare one application as prescribed at point b of clause 5 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
Within 10 days from receipt of the application as prescribed at point b of clause 5 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed at point b of this clause for the SBV or the SBV Regional Branch to consider and approve;
For microfinance programs or projects whose operating area falls within the management jurisdiction of at least 2 SBV Regional Branches and those directly implemented by foreign NGOs, within 5 days from receipt of a valid application as prescribed at point b of clause 5 of this Article, the SBV shall issue a written document to seek the opinions of the relevant province-level People's Committees on the determination of the operating area of the microfinance program or project in the local area.
For microfinance programs or projects whose operating area falls within the management jurisdiction of 1 SBV Regional Branch, within 5 days from receipt of a valid application as prescribed at point b of clause 5 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on the determination of the operating area of the microfinance program or project in the local area;
Within 15 days from receipt of the written document from the SBV or the SBV Regional Branch, the province-level People's Committee shall express its approval or disapproval of the operating area of the microfinance program or project as proposed by the socio-political organization or NGO.
Where disapproval is given, the province-level People's Committee shall clearly state the permitted operating area for the socio-political organization or NGO or request the SBV or the SBV Regional Branch to revoke the Registration Certificate of the microfinance program or project and clearly state its reasons;
Within 10 days from receipt of the province-level People's Committee's opinion, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the operating term, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
Where the approved operating area differs from the proposal of the socio-political organization or NGO, the SBV or the SBV Regional Branch shall enclose a written document (including in electronic form) clearly stating the reasons.
Where the Registration Certificate is revoked at the request of the province-level People's Committee, the procedures shall be carried out as prescribed in clause 2 Article 16 of this Decree.
6. For microfinance programs or projects whose organizational structure does not comply with Article 6 of this Decree, the socio-political organization or NGO shall ensure that the rearrangement of the organizational structure of the microfinance program or project is completed within a maximum of 12 months from the date this Decree comes into force, in accordance with Article 6 of this Decree. Internal regulations related to the adjusted organizational structure shall be sent in accordance with Article 9 of this Decree.
7. Where the scope of operations stated in the Registration Certificate issued pursuant to Decision No. 20/2017/QD-TTg is no longer consistent with this Decree, the matter shall be handled as follows:
a) Socio-political organizations and NGOs shall not commence any new operations not prescribed by this Decree. Within 3 months from the date this Decree comes into force, the socio-political organization or NGO shall apply to the SBV or the SBV Regional Branch for an amendment to the Registration Certificate to bring it into conformity with this Decree;
b) The application shall include:
Application form as per Form No. 01 set out in the Appendix to this Decree;
A written explanation in detail of the proposed amended scope of operations, in conformity with the provisions of this Decree;
c) Procedures:
The socio-political organization or NGO shall prepare one application as prescribed at point b of clause 7 of this Article and submit it in person, by postal service, to the single-window division of the SBV or the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV or the SBV Regional Branch;
Within 10 days from receipt of the application as prescribed at point b of clause 7 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed at point b of this clause for the SBV or the SBV Regional Branch to consider and approve;
Within 30 days from receipt of a valid application as prescribed at point b of clause 7 of this Article, the SBV or the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate with respect to the scope of operations of the microfinance program or project, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
8. For microfinance programs or projects of domestic socio-political organizations and NGOs affected by the rearrangement of administrative divisions and organizational machinery pursuant to law, the matter shall be handled as follows:
a) The microfinance program or project may continue to operate under the issued Registration Certificate if it is transferred to another domestic socio-political organization or NGO and such continuation is approved by the province-level People's Committee.
Within a maximum of 3 months from the date this Decree comes into force, the domestic socio-political organization or NGO receiving the transferred microfinance program or project shall submit an application to the SBV Regional Branch for consideration of an amendment to the Registration Certificate;
b) The application shall include:
Application form as per Form No. 01 set out in the Appendix to this Decree;
A document from the competent authority on the dissolution or reorganization of the domestic socio-political organization or NGO currently implementing the microfinance program or project;
A document from the competent authority on the establishment or reorganization of the domestic socio-political organization or NGO receiving the transferred microfinance program or project;
A document from the competent authority on the transfer of the microfinance program or project from the dissolved or reorganized domestic socio-political organization or NGO to the newly established or post-reorganization domestic socio-political organization or NGO;
c) Procedures:
The receiving socio-political organization or NGO shall prepare one application as prescribed at point b of clause 8 of this Article and submit it in person, by postal service, to the single-window division of the SBV Regional Branch, or submit it online via the National Public Service Portal. When submitting online via the National Public Service Portal, the electronic application shall use a digital signature in accordance with the provisions of law on administrative procedures in an electronic environment. Administrative procedures via the National Public Service Portal shall be performed in accordance with the Government's regulations on administrative procedures through the single-window and single-window interconnected mechanisms at the single-window division and the National Public Service Portal.
Where the National Public Service Portal system experiences a technical failure or error that prevents receipt or electronic exchange of information, the submission, receipt, return of results, exchange, and feedback of information shall be conducted by postal service or in person at the single-window division of the SBV Regional Branch;
Within 10 days from receipt of the application as prescribed at point b of clause 8 of this Article, the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO confirming receipt of a valid application or notifying that the application is incomplete or invalid and requesting the organization to supplement and complete the application.
The socio-political organization or NGO shall supplement and complete the application within a maximum of 10 days from the date the SBV or the SBV Regional Branch issues the written request. If this deadline is exceeded, the socio-political organization or NGO shall re-submit the application as prescribed at point b of this clause for the SBV or the SBV Regional Branch to consider and approve;
Within 5 days from receipt of a valid application as prescribed at point b of clause 8 of this Article, the SBV Regional Branch shall issue a report and seek the opinion of the province-level People's Committee on whether the microfinance program or project may continue to be implemented;
Within 10 days from receipt of the written document from the SBV Regional Branch, the province-level People's Committee shall express its approval or disapproval for the microfinance program or project to continue to be implemented. Where disapproval is given, the province-level People's Committee shall clearly state its reasons;
Within 10 days from receipt of the province-level People's Committee's opinion, the SBV Regional Branch shall issue a written document (including in electronic form) amending the Registration Certificate, as per Form No. 03 in the Appendix to this Decree, and send it to the socio-political organization or NGO.
Where disapproval is given, the SBV Regional Branch shall issue a written document (including in electronic form) to the socio-political organization or NGO clearly stating the reasons.
9. With respect to contracts and agreements on deposit acceptance (including both voluntary savings and compulsory savings), lending, and entrusted lending entered into before this Decree comes into force, socio-political organizations, NGOs, and clients may continue to perform such contracts and agreements until their expiry. Amendments, renewals, and new signings of contracts and agreements on compulsory savings acceptance, lending, and entrusted lending shall only be permitted where the amended, renewed, or newly signed terms are consistent with the provisions of this Decree.
Article 24. Entry into force
1. This Decree comes into force as of July 1, 2026.
2. Prime Minister's Decision No. 20/2017/QD-TTg dated June 12, 2017 on the operations of microfinance programs or projects of political organizations, socio-political organizations, and non-governmental organizations ceases to have effect.
Article 25. Implementation
Ministers, heads of ministerial agencies, Presidents of province-level People's Committees, and heads of relevant agencies and organizations shall implement this Decree.
