DECISION
REGARDING LIST OF ENTERPRISES UNDER EQUITIZATION BY END OF 2020
Pursuant to the Law on Government Organization dated June 19, 2015;
Pursuant to the Law on Enterprises dated November 26, 2014;
Pursuant to the Law on Management and Use of State Capital Invested in Business Activities of Enterprises dated November 26, 2014;
In compliance with the Decision No. 58/2016/QD-TTg dated December 28, 2016 on criteria for classification of state-owned enterprises, state-invested enterprises and the list of state enterprises subject to the reorganization requirement for the period of 2016 – 2020;
Upon the request of the Minister of Planning and Investment;
Prime Minister hereby promulgates the Decision regarding approval of the List of enterprises under equitization by end of 2020.
Article 1. Scope
This Decision regulates the List of enterprises required to complete the equitization process by the end of 2020.
Article 2. Subjects of application
1. State enterprises established under decisions granted by the Prime Minister, Ministers, Heads of Ministry-level bodies, Heads of Governmental bodies (hereinafter referred to as sectoral ministry), Chairpersons of People’s Committees of provinces and centrally-affiliated cities (hereinafter referred to as provincial People’s Committee); by persons representing portions of state participation in joint stock companies, multiple-member limited liability companies of which shares or contributed capital are held by sectoral ministries or provincial People’s Committees.
2. Single-member limited liability companies established under the decisions of Members’ Boards of economic corporations and state incorporations; persons representing capital shares of economic corporations or incorporations in joint stock companies or multiple-member limited liability companies.
3. Other persons and entities involved in reorganization and reform of state-owned enterprises and state-invested enterprises.
Article 3. Implementation
1. Ministers, Chairpersons of provincial People’s Committees, Members’ Boards of economic corporations and incorporations shall take the following responsibilities:
a) Based on the Appendix indicating the List of enterprises under equitization by end of 2020 to this Decision, leading the equitization process (completing the public disclosure of corporate values) on schedule.
b) Setting the schedule for continuous offering of state shares at enterprises after equitization to ensure conformance to criteria specified in Appendix I to the Decision No. 58/2016/QD-TTg regarding criteria for classification of state-owned enterprises and state-invested enterprises according to relevant regulations.
c) Reporting to the Prime Minister to seek his decision to adjust percentage of state capital at enterprises producing and supplying public products and services; seek such decision on certain particular cases or those playing significant roles in local economic growth, supporting sectoral development strategies and other special instances.
d) Reporting to the Prime Minister to seek his decision to deal with cases in which the State must hold between 36% and 50% of charter capital during the period of equitization of enterprises in which 50% of charter capital at maximum is held by the State or the State does not hold any share.
dd) On a quarterly basis and ahead of September 30, 2020, prepare an assessment report on results of equitization of those enterprises specified in the Appendix hereto for submission to the Ministry of Planning and Investment, the Ministry of Finance and the Steering Committee for Reform and Development of Enterprises for compiling purposes or reporting to the Prime Minister within their assigned duties and accorded powers.
e) Become accountable for failure to complete the equitization process on schedule as prescribed herein.
2. The Ministry of Planning and Investment shall assume the following responsibilities:
a) Consolidating results of reorganization of state enterprises on a nationwide scale by 2020 and submitting the plan for reorganization of enterprises for the 2021 – 2025 period to seek the Prime Minister’s approval.
b) Supervising, providing instructions about and pressing ministries, sectors, localities, economic corporations and incorporations for implementation of this Decision.
Article 4. Implementation responsibilities
1. This Decision shall be in effect from the signature date and shall repeal sections II, III and IV of Appendix IIa and IIb to the Decision No. 58/2016/QD-TTg dated December 28, 2016 on criteria for classification of state-owned enterprises, state-invested enterprises and the list of state enterprises subject to the reorganization requirement for the period of 2016 – 2020.
2. Ministers, Chairpersons of provincial People’s Committees and Members’ Boards of economic corporations and incorporations shall be responsible for enforcing this Decision./.
