CIRCULAR
ON FORMS PRESCRIBED IN DECREE NO. 07/2016/ND-CP DATED JANUARY 25, 2016 OF THE GOVERNMENT ON GUILDELINES FOR THE LAW ON COMMERCE IN TERMS OF REPRESENTATIVE OFFICES AND BRANCHES OF FOREIGN TRADERS IN VIETNAM
Pursuant to the Government's Decree No. 95/2012/ND-CP dated November 12, 2012, defining the functions, tasks, powers and organizational structure of the Ministry of Industry and Trade;
Pursuant to the Government's Decree No. 07/2016/ND-CP dated January 25, 2016 on guidelines for the Law on commerce in terms of representative offices and branches of foreign traders in Vietnam;
At the request of Director of Planning Department,
The Minister of Industry and Trade promulgates a Circular on forms prescribed in Decree No. 07/2016/ND-CP dated January 25, 2016 of the Government on guidelines for the Law on commerce in terms of representative offices and branches of foreign traders in Vietnam as follows:
Article 1. Forms of applications, licenses, reports, and notifications of shutdown of representative offices, branches of foreign traders in Vietnam; forms of reports of licensing agencies
1. Application form for issuance or re-issuance of representative office establishment license (prescribed in Clause 1 Article 18 of Decree No. 07/2016/ND-CP regarding re-issuance) using Form MD-1 of Appendix issued herewith.
2. Application form for re-issuance of representative office establishment license (prescribed in Clause 2 Article 18 of Decree No. 07/2016/ND-CP) using Form MD-2 of Appendix issued herewith.
3. Application form for amendments to representative office establishment license using Form MD-3 of Appendix issued herewith.
4. Application form for extension of representative office establishment license using Form MD-4 of Appendix issued herewith.
5. Application form for issuance of branch establishment license using Form MD-5 of Appendix issued herewith.
6. Application form for re-issuance of branch establishment license using Form MD-6 of Appendix issued herewith.
7. Application form for amendments to branch establishment license using Form MD-7 of Appendix issued herewith.
8. Application form for extension of branch establishment license using Form MD-8 of Appendix issued herewith.
9. Sample representative office establishment license using Form GP-1 of Appendix issued herewith.

Article 2. Codes of provinces and central-affiliated cities
Codes of provinces and central-affiliated cities are provided in Table 1 of Appendix issued herewith.
Article 3. Filling in representative office establishment licenses, establishment licenses of branches of foreign traders in Vietnam
Representative office establishment licenses and branch establishment licenses shall be printed in A4 size. Instructions as to fill in the licenses are provided in Appendix issued herewith.
Article 4. Implementation
1. Planning Department of The Ministry of Industry and Trade shall act as central agency in charge of receipt and process of applications for issuance, re-issuance, amendments, and extension of branch establishment license and shutdown of branch as prescribed in Article 6 Decree No. 07/2016/ND-CP send reports to the Minister of Industry and Trade for consideration; and monitor, expedite, and inspect the implementation of this Circular.
2. Department of Electronic commerce and Information technology of the Ministry of Industry and Trade shall establish, manage, run, and maintain the operation of database of representative offices and branches of foreign traders in Vietnam on the website www.moit.gov.vn of the Ministry of Industry and Trade.
3. Planning Department of the Ministry of Industry and Trade shall update relevant information to the database as prescribed in Clause 2 of this Article within 15 days from the date on which the branch establishment license is issued, re-issued, amended, extended or revoked, or the branch is shut down.
4. Licensing authority of representative office establishment license shall update relevant information to the database as prescribed in Clause 2 of this Article within 15 days from the date on which the representative office establishment license is issued, re-issued, amended, extended or revoked, or the representative office is shut down.
5. Licensing agencies of representative office establishment licenses of Planning Department affiliated to the Ministry of Industry and Trade shall update actions against administrative violations committed by representative offices and branches prescribed in Clause 2 of this Article.
Article 5. Effect
1. This Circular takes effect from August 20, 2016.
2. This Circular repeals Circular No. 11/2006/TT-BTM dated September 28, 2006 of the Ministry of Trade (the Ministry of Industry and Trade) on guidelines for Decree No. 72/2006/ND-CP dated July 25, 2006 of the Government on guidelines for the Law on Commerce in terms of representative offices and branches of foreign traders in Vietnam.
3. Difficulties that arise during the implementation of this Circular should be reported to the Planning Department of the Ministry of Industry and Trade for consideration./.

FILLING IN REPRESENTATIVE OFFICE ESTABLISHMENT LICENSES, ESTABLISHMENT LICENSES OF BRANCHES OF FOREIGN TRADERS IN VIETNAM
I. Representative office establishment license No.:
a) Number of a representative office establishment license issued by Service of Industry and Trade of a province or city includes 9 digits (00-00000-00)
b) Number of representative office establishment license issued by the management board of an industrial zone, export processing zone, economic zone, or high technology zone includes particular words for the management board (BQL, BQLVSIP, BQLKKT, BQLCNC, etc. and 9 digits (00-00000-00).
c) Structures of 9 digits:
- 2 first digits present codes of provinces or central-affiliated cities are provided in Table 1 of Appendix issued herewith.
- 5 next digits, from 00001 to 99999, are ordinal numbers according to chronologically licensed order as prescribed by a licensing authority of a local government;
- 2 last digits, from 01 to 99, are ordinal numbers according to chronologically declared order of representative offices by a same trader.
d) Examples of number of representative office establishment license
- The 10th license issued by Service of Industry and Trade of Ho Chi Minh City to the first representative office of foreign trader ABC shall be filled as follows: 79-00010-01;
- The 8th license issued by Management board of High-technology zone of Ho Chi Minh City issued to the second representative office of foreign trader ABC shall be filled as follows: BQLKCNC-79-00008-02.
- The 5th license issued by VSIP Management board of Binh Duong issued to the third representative office of foreign trader ABC shall be filled as follows: BQLVSIP-74-00005-03.
2. Branch establishment license No.
a) Branch establishment license includes 6 digits (0000-00)
- 4 first digits present year of issue of branch establishment license
- 2 last digits present ordinal number of branch establishment license issued by the Ministry of Industry and Trade in that year.
v) Examples of branch establishment license No.
- The 10th license issued in 2016 shall be filled as follows: 2016-10
- The 2nd license issued in 2017 shall be filled as follows: 2017-02.
II. Guidelines for some items on licenses
1. Initial issuance: filling in date of issue of establishment license
- For a representative office of foreign trader AAA initially come into Vietnam. Service of Industry and Trade of Hanoi issuing establishment license on September 1, 2016 shall fill:
Initial issuance: September 1, 2016
- A representative office of foreign trader BBB which has an establishment license No. 01000010 issued by Service of Industry and Trade of Hanoi on October 10, 2013 is shut it down in Hanoi and relocate in Da Nang. Service of Industry and Trade of Da Nang issuing establishment license on September 5, 2016 shall fill:
Initial issuance: September 5, 2016
(Re-issuance under license No. 01000010 on October 10, 2013).
2. Re-issuance in accordance with Clause 2 Article 18 of Decree No. 07/2016/ND-CP: according to the latest re-issuance
- A representative office of foreign trader BBB was issued an establishment license, then a license is re-issued initially as prescribed in Clause 2 Article 18 of Decree No. 07/2016/ND-CP on December 31, 2016, then fill:
Initial issuance: September 5, 2016
Initial re-issuance: December 31, 2016
(Re-issuance under license No. 01000100 on October 10, 2013).
3. Amendments: according to the latest amendments
- A representative office of foreign trader BBB was issued an establishment license, then the license is amended initially on December 31, 2017, then fill:
Initial issuance: September 1, 2016
Initial re-issuance: December 311, 2016
Initial amendments: December 31, 2017
(Re-issuance under license No. 01000100 on October 10, 2013).
- A representative office of foreign trader BBB was issued an establishment license, then the license is amended secondly on June 30, 2018, then fill:
Initial issuance: September 1, 2016
Initial re-issuance: December 31, 2016
Second amendment: June 30, 2018
(Re-issuance under license No. 01000100 on October 10, 2013).
3. Extension: according to the latest extension
- A representative office of foreign trader BBB was issued an establishment license, then the license is extended initially on October 10, 2018, then fill:
Initial issuance: September 1, 2016
Initial re-issuance: December 31, 2016
Second amendment: June 30, 2018
Initial extension: October 10, 2018
(Re-issuance under license No. 01000100 on October 10, 2013).
III. Guidelines for number of representative office licenses issued before the effective date of this Circular
Any foreign trader having representative office establishment license issued before the effective date of this Circular who wishes to have license re-issued as prescribed in Clause 2 Article 18 Decree No. 07/2016/ND-CP or amended or extended, the licensing authority shall issue such trader with a new license as prescribed in Decree No. 07/2016/ND-CP and this Circular, and fill the new license number as prescribed in this Circular.
Examples:
- A representative office of foreign trader CCC which has an establishment license No. 01000020 issued by Service of Industry and Trade of Hanoi in 2013 requests to amend its operations. The trader CCC declares that that is its second representative office in Vietnam. Then, Service of Industry and Trade of Hanoi shall issue a new license with amended contents and fill the following number in the license: 01-00020-02.
- A representative office of foreign trader DDD which has an establishment license No. 41000015, issued by Service of Industry and Trade of Ho Chi Minh City issued in 2011 requests to extend its operation period. The trader DDD declares that that is its fourth representative office in Vietnam. Service of Industry and Trade of Ho Chi Minh City shall issue a new license with new extension period and fill the following number in the license: 79-00015-04.
